Lecture Hat Study Companion: Terms of Service

Last updated: October 4, 2026

Effective date: October 4, 2026

Version: 2026-10-04 (recorded with your acceptance)

1. Who We Are and Your Agreement

1.1 These Terms describe our commitments to you and your rights and responsibilities when using the Lecture Hat Study Companion browser extension (the "Extension"). The agreement is between you and Lecture Hat, Inc., a Delaware corporation ("Lecture Hat," "we," "us"). Read these Terms before accepting them in the Extension. If you do not agree, do not use it. The Extension Privacy Policy describes the information the features process.

1.2 You must be 18 or older and legally able to form a binding agreement. If you use the Extension on behalf of an organization, you represent that you are authorized to accept these Terms for it.

1.3 Installation and updates through the Chrome Web Store also involve Google's store terms. Google is not a party to this agreement and does not provide Lecture Hat support. The Extension is not affiliated with or endorsed by Instructure, Canvas, or your institution.

2. The Extension and Third-Party Services

2.1 The Extension uses your existing logged-in Canvas session to import selected course materials into your Lecture Hat notebooks. You choose which courses and categories to link; enabled background synchronization can then import later changes. Cactus answers contextual questions using a selected notebook or a page you explicitly share. Optional tab-audio capture can add a selected browser tab to a Lecture Hat Live Subtitles session.

2.2 Canvas, the pages you visit, Chrome, and external AI or speech services have their own terms and privacy practices. Enabling a feature does not give you rights to material or speech that you are not otherwise authorized to use. We do not control those services and cannot promise continuing compatibility, access, or availability.

2.3 The Extension has no separate purchase flow. Paid Lecture Hat features, usage limits, trials, and refunds follow the plan you choose and our Refund and Cancellation Policy. Installing the Extension does not itself purchase a subscription.

3. Your Account and Responsibilities

3.1 Provide complete and accurate account information and keep it current so we can communicate with you about the account. You are responsible for account activity, secure use of your credentials, and keeping your devices and browser up to date. Do not share or misuse access credentials; contact us promptly if you discover unauthorized access.

3.2 Use only Canvas and Lecture Hat accounts you own or are authorized to use. You are responsible for Your Content and for satisfying copyright, privacy, institutional, and academic-integrity rules before copying materials, importing private messages, sharing a page, or capturing speech. Recording can require notice or consent from other participants; see the Recording Consent Notice.

3.3 We have not reviewed, and cannot review, every item users import or every page linked through the Extension. Links do not imply our endorsement. Keep independent copies of important content and verify an import's completeness and accuracy.

4. General Representations and Acceptable Use

4.1 Your use must comply with these Terms, applicable law, and the Acceptable Use Policy. Do not infringe another person's rights, misrepresent your identity or affiliation, disclose protected information without authority, interfere with a service, or impose an unreasonable load on Canvas, an institution, or Lecture Hat.

4.2 Do not distribute malware, bypass access or usage restrictions, resell access without authorization, or attempt to obtain another person's credentials or content. Restrictions on copying, reverse engineering, or modifying the Extension apply only to the extent permitted by law and any applicable software license.

4.3 The Extension supports authorized study and course organization. AI responses can be inaccurate or incomplete; they do not establish a fact, a grade, or permission to violate an assignment rule. You must assess the response and comply with your instructor's rules.

5. Your Content and Intellectual Property

5.1 You retain the rights you have in imported materials, messages, attached images, explicitly shared-page content, and audio you select for captions ("Your Content"). Terms of Service Section 8 governs AI Input and Output, including any assignment of Lecture Hat's rights in Output to you and its third-party-rights and non-uniqueness limits. Other people, including your institution or a course author, may retain rights in materials you can access. Importing a file does not transfer their ownership to you or to Lecture Hat.

5.2 By providing Your Content, you grant us a worldwide, non-exclusive, royalty-free license to reproduce, store, transmit, display, reformat, index, and process it to provide and secure the requested Extension Services, including through service providers acting on our behalf. The license does not authorize advertising, model training, or unrelated research reuse. Any additional non-training review requires separate, specific permission and must remain within the Extension Privacy Policy's Limited Use restrictions, applicable law, and an executed institutional DPA. Retention or acceptance of a privacy notice does not expand this license.

5.3 You represent that you have the rights and permissions needed to provide Your Content and grant that license. For deleted content, the license continues only as needed for the deletion process, residual backups, or limited lawful retention described in the Extension Privacy Policy; deletion cannot recall copies you previously shared with others.

5.4 We grant you a limited, non-exclusive, non-transferable license to install and use the Extension for its intended purpose while you comply with these Terms. Lecture Hat and its licensors retain their rights in the Extension, trademarks, and service technology. These Terms do not transfer those rights; applicable third-party software licenses remain in effect.

5.5 When you provide suggestions or feedback, we may use them to improve the Extension without compensation. This feedback permission does not expand our rights to private notebooks, imported coursework, or other Account Content.

6. Copyright and Removal Requests

6.1 Just as we ask you to respect intellectual-property rights, we respect the rights of others. If you believe stored material infringes your copyright, follow our DMCA Policy to submit a notice or counter-notice. That policy identifies the required information and contact.

6.2 We respond to qualifying notices as described in that policy and terminate repeat-infringer accounts in appropriate circumstances. Our removal process does not decide ownership disputes between you and a course author or institution.

7. Disclaimer of Warranties

TO THE EXTENT PERMITTED BY LAW, THE EXTENSION AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." LECTURE HAT AND ITS SUPPLIERS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT USE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AN IMPORT OR AI RESPONSE WILL BE COMPLETE OR ACCURATE, OR THAT CANVAS COMPATIBILITY WILL CONTINUE. YOU USE THE EXTENSION AND DOWNLOAD CONTENT AT YOUR OWN DISCRETION, SUBJECT TO RIGHTS AND WARRANTIES THAT APPLICABLE LAW DOES NOT ALLOW US TO EXCLUDE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LECTURE HAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM THE EXTENSION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE EXTENSION IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.

THIS SECTION DOES NOT EXCLUDE OR LIMIT LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE. MANDATORY CONSUMER AND PRIVACY RIGHTS AND REMEDIES REMAIN IN EFFECT. THESE EXCLUSIONS AND CAPS DO NOT REDUCE A REFUND PROMISED UNDER THE APPLICABLE TERMS OR REFUND POLICY. THE SAME CLAIM DOES NOT CREATE A SEPARATE LIABILITY CAP UNDER EACH DOCUMENT IN THE AGREEMENT.

9. Third-Party Claims

9.1 To the extent permitted by law, you will indemnify Lecture Hat and its officers, directors, employees, and agents against third-party claims and reasonable costs caused by Your Content infringing another person's rights, your unlawful conduct, or your material breach of these Terms. This does not cover a claim to the extent caused by Lecture Hat's own unlawful conduct, negligence, or breach.

9.2 We will promptly notify you of a covered claim and reasonably cooperate in its defense. You may control the defense with reasonably acceptable counsel. You may not settle a claim that imposes an obligation on us or admits fault on our behalf without our consent. We may participate through our own counsel at our expense.

10. Termination and Changes

10.1 You can stop using and uninstall the Extension at any time. We may suspend access where reasonably necessary to address a material breach, compromised account, security issue, or legal obligation. For standard-Service use, Terms Section 11.2 governs notice and an opportunity to address a breach where practicable and lawful, including its exceptions for urgent action. We may also discontinue a feature or the Extension, subject to the paid-feature protections in Terms Section 17.1 and applicable cancellation and refund rights under the Refund and Cancellation Policy. Applicable Pilot Terms and executed institutional agreements govern their respective use.

10.2 Uninstalling stops future Extension collection and synchronization. It does not delete content already stored in Lecture Hat. Use content or account deletion controls, or contact support, to request deletion under the Extension Privacy Policy. A provider may retain records separately as described there.

10.3 We may update the Extension and these Terms. A material terms change will receive notice in the Extension or by email and require renewed acceptance through the versioned consent process before continued use. For standard-Service use, Terms Section 17.2 also governs advance notice and the cancellation/refund right. Changes apply prospectively from the stated effective date; mandatory legal rights continue to apply.

11. Other Agreements, Precedence, and Disputes

11.1 These Terms supplement the Lecture Hat Terms of Service. Its account, billing, dispute, and general provisions apply where relevant, together with the Acceptable Use Policy and any applicable software license. The Privacy Policy and Extension Privacy Policy describe processing; they do not create additional permission to collect information.

11.2 These Terms control Extension-specific use within their scope. An executed institutional DPA controls data processing covered by it, and mandatory law controls in all cases. Applicable Course Pilot Terms govern activity inside that pilot course. The Public Beta Terms apply to beta participation without displacing privacy protections, the Extension's Limited Use obligations, or paid-plan refund rights. General Terms Sections 12 and 13 continue to govern warranties and liability where applicable.

11.3 For use governed by the standard Terms of Service, Delaware law applies subject to mandatory legal protections. Terms Sections 15 (Governing Law; Venue) and 16 (Arbitration; Class-Action Waiver) govern those Extension disputes, including their exceptions and arbitration opt-out. Course Pilot activity follows its accepted Pilot Terms. Covered institutional processing follows the executed DPA and institutional agreement; the consumer arbitration clause is not imported into those agreements.

11.4 FOR USE GOVERNED BY THE STANDARD TERMS, SECTION 16 PROVIDES FOR BINDING INDIVIDUAL ARBITRATION AND A CLASS-ACTION WAIVER, SUBJECT TO ITS EXCEPTIONS, OPT-OUT, AND APPLICABLE LAW. READ THE DISPUTE TERMS APPLICABLE TO YOUR USE BEFORE ACCEPTING.

12. General

12.1 These Terms and the applicable documents in Section 11 constitute the agreement concerning the Extension. If a provision is held unenforceable, the remainder continues in effect to the extent permitted by law. Our failure to enforce a provision is not a waiver of it.

12.2 You may not assign this agreement without our prior written consent except where applicable law permits otherwise. We may assign it with a merger, acquisition, or sale of assets, subject to the Extension Privacy Policy's prior-consent restriction on transfer of Extension user data.

12.3 Provisions that by their nature should survive termination do so, including accrued obligations, ownership, limited content rights needed for lawful retention, warranty and liability provisions, third-party claims, and dispute procedures. The license to use the Extension ends on termination.

12.4 Send notices and questions to the contact in Section 13. These Terms do not waive a remedy or protection that applicable law makes non-waivable.
