This End User License Agreement ("EULA") is between you and Lecture Hat, Inc., a Delaware corporation. It governs the Lecture Hat iOS application, macOS desktop application, and browser extensions (the "Application"), including updates. The Application is licensed, not sold. By accepting this EULA or downloading, installing, or using the Application after it is presented to you, you agree to it.
This EULA supplements our Terms of Service, which govern the connected cloud Services, accounts, and Subscriptions. It controls application licensing within that scope. Terms Sections 12, 13, 15, and 16 control disclaimers, liability, governing law, and disputes. The Study Companion Terms control that extension within their scope, including their extension-specific indemnity. Terms Section 19.2 supplies the order of precedence.
Applicable disputes are subject to the individual AAA arbitration and class-action waiver in Terms Section 16, including its 30-day opt-out. Course Pilot activity is governed exclusively by accepted Pilot Terms; a signed institutional DPA controls the personal data it covers. Privacy notices remain the factual processing baseline.
1.1 This EULA is with Lecture Hat, not Apple or another distribution-store operator. Lecture Hat is responsible for the Application and its content. Apple does not undertake maintenance or support obligations for it. The Apple-specific provisions below apply only to the Application distributed by Apple.
1.2 Browser-extension installation is also subject to the applicable store's terms. The Study Companion Privacy Policy describes its permissions and Chrome Limited Use commitments. The macOS desktop Application is distributed directly by Lecture Hat, rather than through the Mac App Store.
2.1 Subject to this EULA, Lecture Hat grants you a limited, non-exclusive, non-sublicensable, non-transferable license to install and use the Application on systems you own or control for your personal or internal organizational use. Paid functionality remains subject to an active entitlement under the Terms.
For the Apple-distributed Application, the license permits use on Apple-branded products you own or control in accordance with the Usage Rules in the Apple Media Services Terms and Conditions. It also permits access by associated accounts through Family Sharing, volume purchasing, or Legacy Contacts to the extent Apple's applicable rules allow.
2.2 Lecture Hat and its licensors retain all rights in the Application, whether developed before or after you accept this EULA, including changes responding to Feedback. You receive only the rights expressly granted. You must be at least 18 and legally able to accept this EULA.
Except as this EULA expressly permits, do not reverse engineer, decompile, or attempt to discover proprietary source code or algorithms; distribute, sell, rent, sublicense, or lend the Application; remove proprietary notices; copy or modify the Application to create a derivative application; or bypass security, access, or paid-feature controls. Do not use it unlawfully or contrary to the Acceptable Use Policy.
These restrictions do not apply to the extent prohibited by applicable law or by the license of an included open-source component. The applicable open-source license governs that component where required, including any rights to use, modify, or redistribute it. Required license notices, source-code offers, and other materials remain available with the relevant distribution or upon request to our support contact.
Updates and maintenance releases we make available are part of the Application and governed by this EULA unless a separate license accompanies them. Install available security and compatibility updates promptly. Automatic installation depends on the Application, device, browser, and your settings. Older versions may stop working when supported interfaces change. Material changes to paid functionality preserve the rights in Terms Section 17.1.
Lecture Hat is responsible for support and maintenance specified in its agreements or required by law. No general response-time or service-level commitment is made here. Apple and other stores have no obligation to provide support for the Application. Send questions, complaints, or claims to the contact in Section 16.
The Application requires a compatible device and supported software; connected features require an internet connection. Review the permissions shown at installation or first use. You can revoke permissions through device or browser controls, which may disable the features that use them.
The iPad Application requests camera access for the document scanner and microphone access for Live Subtitles. The desktop Application can keep local notes and unsynced edits and can update itself. Uninstalling the Application does not necessarily remove its local data; remove the local application data if you want to delete those copies. Account deletion and server retention are governed by the Privacy Policy.
Terms Sections 5, 6.3, 8, and 10 govern Your Content, the limited license needed to provide the Services, Feedback, AI Input and Output, and recording. We do not obtain ownership of your notes or recordings merely through this license. You must have the necessary content rights and recording permissions and review AI Output.
Lecture Hat does not use Your Content to train AI model parameters. The feature-specific processing and provider limitations in the Privacy Policy and AI Use Disclosure apply; this EULA does not create a broader data-use or model-training permission.
To the maximum extent permitted by law, the Application is provided "as is" and "as available." Lecture Hat and its licensors disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The controlling disclaimer and mandatory-law exceptions are in Terms Section 12. No exclusion overrides a consumer warranty that cannot lawfully be disclaimed.
For an Apple-distributed Application that fails to meet an applicable warranty, notify Apple and it will refund any purchase price paid for that Application. Apple has no further warranty responsibility to the extent permitted by law. Lecture Hat remains responsible for other warranty-related claims, losses, damages, or expenses not lawfully disclaimed.
Terms Section 13 controls the exclusions, cap, and exceptions for liability arising from this EULA and the Application. The cap is the greater of US$100 or the fees you paid Lecture Hat in the 12 months before the event giving rise to the claim, to the extent lawful. This EULA does not create a separate cumulative cap or limit liability beyond what applicable law permits.
Lecture Hat, rather than Apple, is responsible for addressing claims about the Application or your possession and use of it, including product liability, legal or regulatory conformity, and consumer-protection or privacy claims. The legal limits and mandatory exceptions in the Terms apply to Lecture Hat's responsibility.
If a third party claims that the Apple-distributed Application or your possession or use of it infringes its intellectual property, Lecture Hat, rather than Apple, is responsible for investigating, defending, settling, and discharging that claim. This allocation of responsibility does not create another indemnity beyond the applicable agreement.
You represent that you are not in a region subject to a U.S. government embargo or designated as supporting terrorism, and are not on a U.S. government list of prohibited or restricted parties. Do not export, re-export, or use the Application in violation of applicable export-control or sanctions law. Terms Section 19.6 also applies.
Comply with applicable third-party agreements when using the Application, including device, connectivity, app-store, and institutional or learning-management-system account terms. Connecting an account does not authorize a use that its owner forbids.
This license starts when you accept it and continues until terminated. You may end it by stopping use and removing the Application. Lecture Hat may suspend or terminate it for a material breach under Terms Section 11, including its applicable notice and opportunity-to-address protections. When it ends, stop using and remove your copies, subject to rights in separately licensed open-source components.
Ending this license or uninstalling the Application does not by itself cancel a cloud account or paid Subscription. Use the cancellation controls in the Refund & Subscription Policy. Accrued payment obligations and the provisions concerning ownership, content rights, disclaimers, liability, claims, and disputes survive as needed to give them effect.
Terms Sections 15 and 16 govern applicable law and standard-Service disputes, including Delaware law and courts, individual arbitration, mandatory-law exceptions, and your opt-out right. This does not apply those standard terms to Course Pilot activity without separate acceptance, alter a signed institutional agreement's dispute regime, or prevent Apple from enforcing its beneficiary rights.
This EULA and the applicable Terms form the agreement on Application licensing. Severability, waiver, assignment, material changes, and notices follow Terms Sections 17–19. For the Apple-distributed Application, Apple and its subsidiaries are third-party beneficiaries, and upon your acceptance Apple may enforce this EULA against you.
